Terms of Service

1. Scope
These terms govern all software subscriptions and field services provided by DuneDive LLC to business customers (B2B). Deviating customer terms do not apply unless accepted in writing.
2. Services
DuneDive provides (a) the SondeScan software platform as a hosted service and (b) wastewater engineering services: analysis, planning, solution concepts and technical supervision of executing partners. Scope per individual order or subscription plan.
3. Contract & pricing
Contracts form on written order confirmation or online subscription. Pricing per the current published plan or individual quote. Prices are net of applicable taxes.
4. Trial
A 14-day free trial is available on every software plan. No payment details are required to start the trial. The trial ends automatically unless converted.
5. Payment & invoicing
Invoices are issued electronically, EN 16931 compliant. Payment terms: net 14 days unless agreed otherwise.
6. Availability & SLA
Target availability for the SondeScan platform: 99.5% monthly average, excluding scheduled maintenance. Support: Mon–Fri 08:00–18:00 (CET/CEST) via [email protected]. Field-operations emergency line: 24/7. Scheduled maintenance is announced in advance where feasible.
7. Data & confidentiality
Customer data is processed per our Privacy Policy. Application data is hosted in Germany. Both parties keep confidential information confidential.
8. Liability
DuneDive is liable without limitation for intent, gross negligence and injury to life, body or health. For simple negligence, liability is limited to breaches of essential contractual obligations and capped at the fees paid under the affected contract in the 12 months preceding the event. Liability for indirect and consequential damages, lost profit and loss of data is excluded to the extent legally permissible.
9. Termination
Either party may terminate per the agreed term and notice periods. Statutory termination rights for cause remain unaffected.
10. Governing law & jurisdiction
These terms are governed by the laws of the State of Wyoming, USA, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive venue for all disputes with business customers, to the extent legally permissible: Sheridan County, Wyoming, USA. Mandatory statutory rights of the customer under the law of their home jurisdiction remain unaffected.
